These Terms of Use ("Terms") govern access to and use of the iKofi advertiser web portal (the "Portal") and related advertising services (together, the "Services") offered by Ikofi App Ltd("we", "us", "our") at Kigali, Rwanda. By registering for an account, clicking to accept, or using the Services, you ("you", "your", "Advertiser") agree to these Terms. If you do not agree, do not use the Services.
These Terms apply to business advertisers only. They do not replace the end-user terms that govern the separate iKofi mobile application used by consumers for money movement and other consumer features.
1. Definitions
"Advertiser Content" means all materials you submit or make available through the Portal, including business names, descriptions, images, links, offers, targeting selections, and similar assets.
"End Users" means users of the iKofi consumer mobile application or other surfaces where your advertisements may appear.
"Wallet" means the prepaid advertising balance functionality made available in the Portal, denominated in Rwandan Francs (RWF) unless otherwise stated in-product.
"PawaPay" means PawaPay and its affiliates that process Mobile Money payments as described in the Portal.
2. Eligibility and authority
You represent that you are at least eighteen (18) years old and have legal capacity to enter a binding contract. If you register or act on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.
You must provide accurate registration information (including business name and contact email) and keep it current. We may refuse registration or suspend accounts that appear fraudulent, incomplete, or high-risk.
3. The Services
The Portal allows business customers to create and manage advertising-related activities and, where available, to fund a Wallet for advertising spend. Advertiser Content may be distributed or surfaced within the iKofi consumer mobile application or other placements we operate or enable, subject to product configuration, inventory, policy, and technical availability.
Impression delivery. When a campaign is live (approved, funded, and within its dates and impression cap), we deliver the impressions you purchase so your brand is shown. Unused prepaid balance stays in your Wallet until it is spent or otherwise handled under these Terms.
No outcome guarantee. We do not guarantee taps, clicks, conversions, installs, revenue, ranking, or other business results. Network, device, app store, and third-party failures may delay when a view is shown; they do not turn a purchased view into a promised sale.
We may modify, suspend, or discontinue features of the Services (including placements or formats) with reasonable notice where practicable. Continued use after notice constitutes acceptance of material changes unless prohibited by applicable law.
4. Accounts and security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us promptly at team@ikofi.app if you suspect unauthorized access.
We may use technical measures (including authentication tokens stored in your browser) to secure sessions. You must not share accounts in a way that circumvents security controls or misrepresents identity.
5. Advertiser Content and acceptable use
You are solely responsible for Advertiser Content and for any products or services you promote.
- Lawfulness. Advertiser Content and promoted offerings must comply with applicable laws and regulations, including advertising, consumer protection, competition, financial promotion, sanctions, export control, and intellectual property laws.
- Truthfulness. You must not mislead End Users about pricing, discounts, availability, endorsements, certifications, or material characteristics.
- No harmful conduct. You must not distribute malware, conduct phishing, harvest credentials without lawful basis, or attempt to disrupt the Portal, mobile app, or related infrastructure.
- Intellectual property. You represent that you own or have all necessary rights, licences, and consents to use and license Advertiser Content to us for the purposes described in our Privacy Policy and these Terms, including display to End Users.
Prohibited categories (illustrative). Unless expressly approved in writing by us, you must not use the Services to promote illegal goods or services, deceptive schemes, adult sexual services, unlicensed gambling where licensing is required, weapons where restricted, hate or extremist content, discrimination, harassment, or other content we reasonably deem incompatible with brand safety or legal risk tolerance. We may update prohibited categories by policy notice.
License to operate the Services. You grant us a worldwide, non-exclusive, royalty-free licence to host, reproduce, modify (for formatting or technical delivery), publicly display, distribute, and otherwise use Advertiser Content as reasonably necessary to provide, secure, improve, and promote the Services and to enforce these Terms.
6. Wallet, prepayment, and payments
Where enabled, Wallet balances represent prepaid amounts available for advertising spend in the Portal according to in-product rules. Payment processingfor Wallet top-ups may be performed by PawaPay (Mobile Money). Your use of PawaPay is also subject to PawaPay's terms and privacy notices.
Taxes. You are responsible for determining and paying any taxes associated with your purchases or advertising activities, as required by applicable law.
Refunds, chargebacks, and fraud. Unless we communicate a different policy in the Portal or in a separate signed agreement, unused Wallet balances may be non-refundable or subject to limitations. We may withhold, reverse, offset, or suspend balances where we reasonably believe there is fraud, chargeback risk, a violation of these Terms, or a legal obligation. Counsel should align this section with your actual commercial and banking arrangements.
7. Fees and changes
Pricing, fees, bidding models, minimum spends, and billing mechanics may change from time to time. We will provide notice as required by applicable law and, where appropriate, within the Portal. Your continued use after the effective date of changes may constitute acceptance.
8. Moderation, enforcement, and termination
We may review, reject, remove, limit delivery of, or require changes to Advertiser Content. We may suspend or terminate your account or access to the Services if we reasonably believe you have breached these Terms, created legal or security risk, or if we are required to do so by law or by a partner (including payment processors or app platforms).
Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, indemnities, and dispute resolution) will survive.
9. Third-party services
The Services may rely on third parties (including PawaPay, cloud hosting providers, telecommunications networks, and mobile app distribution platforms). We are not responsible for third-party acts or omissions outside our reasonable control.
10. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by applicable law, we and our affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, or data, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of (a) the amounts you paid to us for the Services in the three (3) months preceding the event giving rise to liability, or (b) where no fees were paid, fifty United States dollars (USD 50). Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. Counsel should review whether this cap is appropriate under Rwandan law and your insurance position.
12. Indemnity
You will defend, indemnify, and hold harmless Ikofi App Ltdand its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Advertiser Content; (b) your products or services; (c) your breach of these Terms; or (d) your violation of applicable law or third-party rights.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Rwanda, without regard to conflict-of-law principles that would require application of another jurisdiction's laws, subject to mandatory consumer protections that cannot be waived (if any apply despite the B2B nature of the Services).
Venue. Subject to applicable law, you agree that the courts located in the Republic of Rwanda will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless we elect another forum permitted by law. Counsel may replace this with arbitration or a different venue if appropriate for your corporate structure.
14. Relationship to the consumer mobile application
End Users access separate consumer functionality through the iKofi mobile application under end-user terms and privacy notices that are distinct from these Terms. Nothing in these Terms grants you rights over End User accounts or personal data beyond what is permitted by law and our Privacy Policy.
15. Miscellaneous
- Entire agreement. These Terms constitute the entire agreement between you and us regarding the Services described here, superseding prior oral or written understandings on the same subject, except for any separate signed commercial agreement that expressly overrides a specific provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
- Notices. We may send notices to the email address associated with your account. You may send legal notices to us at team@ikofi.app and to Kigali, Rwanda, attention: Legal.
Effective date: 14 May 2026. We may update these Terms from time to time; the "Last updated" date at the top of this page will be revised when we do.
